Exit Readiness Assessment
A structured questionnaire, completed online with a private link from BCP, that shows where your company stands before a sale or an investment and what to fix first.
Preparation shortens the process, keeps competitive tension and avoids value leakage between offer and signing. The assessment tells you, in a buyer’s terms, how far your company is from that point.
Nine areas, one score
Your answers are scored across the nine areas a buyer examines in due diligence. Each area carries its own weight in an overall score out of 100.
Shareholder alignment & objectives
Buyers need one clear counterparty. Misaligned shareholders stall processes and erode price late in negotiations.
Financial reporting & quality of earnings
Price is a multiple of EBITDA buyers can verify. Every unverifiable unit of profit is discounted, escrowed or deferred.
Financial performance & growth story
Growth, margins and predictability drive the multiple. A credible, documented plan lets buyers pay for the future, not only the past.
Management & owner independence
If the business depends on the owners, the buyer is buying the owners. That means earn-outs, long lock-ins or a lower price.
Customers, suppliers & market position
Concentration and weak contracts are the most common reasons for price chips in commercial due diligence.
Legal & corporate structure
Clean title, a clear perimeter and valid permits are preconditions to signing. Gaps become conditions precedent, indemnities or deal-breakers.
Tax & regulatory compliance
Historic tax exposure stays with the company. Buyers price it through specific indemnities, escrows or lower valuation.
Operations, IT & ESG
Deferred investment, weak systems and ESG gaps translate directly into capex and integration costs the buyer deducts.
Transaction preparedness
Whether advisors (M&A, legal, tax) are in place and a data room covering financial, legal, HR and commercial documents could be assembled within four weeks.
What your report shows
A readiness band
Your overall score places the company in a readiness band. Red flags on key buyer issues limit the band whatever the overall score, because a buyer would treat them as conditions or price adjustments.
Red flags a buyer would raise
Each red flag with its typical consequence in a deal: a price reduction, an escrow, an earn-out, special warranties, or a buyer walking away.
Prioritised actions
Every improvement action, ranked by the score points it would recover, with extra weight on key buyer issues.
A preparation roadmap
The actions grouped by the time they usually take: quick wins in 0 to 3 months, medium-term work in 3 to 12 months and structural changes in 12 to 24 months, with an indicative preparation time.
